Par­ti­ti­on auc­tion: dis­so­lu­ti­on of com­mu­ni­ties of heirs, frac­tions and com­mu­ni­ties of pro­per­ty, Sec­tions 731, 741, 749, 753, 2042 BGB


A public auc­tion is a sove­reign act which we are sworn to car­ry out con­sci­en­tious­ly. Your details are requi­red for this. Accor­ding to § 1 of the Auc­tion­eers Ordi­nan­ce, public auc­tions may only be con­duc­ted on the basis of a writ­ten auc­tion con­tract. This form is not yet an auc­tion con­tract. To draw it up, we need all the infor­ma­ti­on from this form as well as a list and images/video (crea­ted accor­ding to the inven­to­ry ins­truc­tions > field on the left) — or, in the case of rights, the available docu­ments and finan­cial data — of all items to be auc­tion­ed via WeTrans­fer or your file sha­ring (can be ente­red in the form). The auc­tion con­tract only beco­mes valid once it has been signed.


The form can be saved tem­po­r­a­ri­ly at the end of data ent­ry for fur­ther pro­ces­sing.

A rea­liza­ti­on based on sta­tu­to­ry and con­trac­tu­al liens con­sti­tu­tes an act in the exer­cise of public aut­ho­ri­ty and is sub­ject to civil-law and trade-law requi­re­ments.

Data coll­ec­tion
In order to avo­id for­mal errors during exe­cu­ti­on, not least in the inte­rest of the cre­di­tor, we requi­re com­ple­te details of all data lis­ted in the form. The data trans­mit­ted to us are pro­ces­sed auto­ma­ti­cal­ly for cost reasons. The cor­rec­tion of incor­rect­ly ente­red data in the form is time-con­sum­ing, not least due to our rese­arch. The­r­e­fo­re, we char­ge EUR 35.00 plus VAT for each cor­rec­tion. By sub­mit­ting this form, you decla­re your con­sent to this.

Pledge or matu­ri­ty for rea­liza­ti­on
A pre­re­qui­si­te for car­ry­ing out the rea­liza­ti­on is con­fir­ma­ti­on of the matu­ri­ty of the pledge or the matu­ri­ty for rea­liza­ti­on by the cre­di­tor. The cre­di­tor con­firms that the deb­tor is in default of pay­ment obli­ga­ti­ons, that the cre­di­tor is entit­led, as cre­di­tor, to car­ry out a rea­liza­ti­on of a lien based on a sta­tu­to­ry or con­trac­tu­al lien, or, in the case of a con­trac­tu­al agree­ment, has a right of rea­liza­ti­on, or that the cre­di­tor is entit­led to rea­liza­ti­on on the basis of a judgment, sett­le­ment, or other sta­tu­to­ry pro­vi­si­on. The cre­di­tor con­firms that the public auc­tion and sale pur­su­ant to Sec­tions 1220 and 1234 of the Ger­man Civil Code (BGB), Sec­tion 362 of the Ger­man Com­mer­cial Code (HGB) (com­mer­cial deb­tors), have been duly threa­ten­ed and that the wai­ting peri­od (7 days for com­mer­cial deb­tors) has expi­red or is dis­pensable.

Pre­re­qui­si­tes
The pre­re­qui­si­tes for con­duc­ting a public auc­tion by Deut­sche Pfand­ver­wer­tung Oster­may­er & Dr. Gold GbR are: 1. The matu­ri­ty of the pledge or the matu­ri­ty for rea­liza­ti­on has occur­red. 2. The cre­di­tor must be in pos­ses­si­on of the pled­ged asset. 3. The civil-law pre­re­qui­si­tes for car­ry­ing out the rea­liza­ti­on of the lien have occur­red defi­ni­tively and with legal effect. 4. The cre­di­tor defi­ni­tively intends to rea­li­ze the out­stan­ding cla­im by way of a public auc­tion and intends to com­mis­si­on Deut­sche Pfand­ver­wer­tung Oster­may­er & Gold GbR with con­duc­ting the public auc­tion. Deut­sche Pfand­ver­wer­tung Oster­may­er & Dr. Gold GbR con­firms its inten­ti­on to con­duct a public auc­tion for the cre­di­tor on the basis of the auc­tion agree­ment. The sub­mis­si­on of the form does not con­sti­tu­te an obli­ga­ti­on to final­ly con­clude the auc­tion agree­ment. By sub­mit­ting the form, you con­firm that the­se pre­re­qui­si­tes exist. The pre­pa­ra­ti­on of the auc­tion agree­ment is time-con­sum­ing: A mere­ly cur­so­ry exami­na­ti­on of the mat­ters pre­sen­ted to us does not do jus­ti­ce to the com­ple­xi­ty of the tasks to be trans­fer­red. A pro­per assess­ment rather requi­res a careful, detail­ed exami­na­ti­on of each indi­vi­du­al case, taking into account its legal, eco­no­mic, and fac­tu­al par­ti­cu­la­ri­ties. The invol­vement of the publicly appoin­ted and sworn auc­tion­eer for mere­ly tac­ti­cal pur­po­ses – for exam­p­le, as a non-bin­ding pres­su­re or nego­tia­ti­on instru­ment in par­al­lel sett­le­ment or ren­ego­tia­ti­on dis­cus­sions with the deb­tor – is not per­mis­si­ble; it would be incom­pa­ti­ble with the requi­red neu­tra­li­ty towards the deb­tor as well as with the sta­tu­to­ry model of an order­ly, trans­pa­rent, and fair rea­liza­ti­on. We are the­r­e­fo­re available for the pre­pa­ra­ti­on of an auc­tion man­da­te and the con­duct of the auc­tion once the civil-law pre­re­qui­si­tes are ful­ly met and the cre­di­tor has cle­ar­ly and defi­ni­tively deci­ded to exer­cise the con­trac­tu­al or sta­tu­to­ry lien. This ensu­res a com­pli­ant and relia­ble fur­ther cour­se of action. By sub­mit­ting the form, the cre­di­tor con­firms that nego­tia­ti­ons with the debtor(s) will only be resu­med, if at all, after con­clu­si­on of the auc­tion agree­ment. If, after sub­mis­si­on of the pledge matu­ri­ty form, in the pha­se pri­or to sig­ning the auc­tion agree­ment, we deter­mi­ne that nego­tia­ti­ons with the debtor(s), insol­ven­cy admi­nis­tra­tors, or other third par­ties are being con­duc­ted in par­al­lel, we will reject accep­tance of the man­da­te. If, after sig­ning the agree­ment, we deter­mi­ne that nego­tia­ti­ons were nevert­hel­ess con­duc­ted pri­or to the sig­ning of the agree­ment, this shall be dee­med a with­dra­wal by the cli­ent from the signed auc­tion agree­ment. This decla­ra­ti­on of intent takes effect upon sub­mis­si­on of the form.

Third-par­ty rights
The cre­di­tor con­firms that he is the sole pledge cre­di­tor of the pled­ged items or rights. He con­firms that, pur­su­ant to Sec­tions 1006 and 1248 of the Ger­man Civil Code (BGB), not­hing is known to him that the com­pa­ny shares or rights to be deli­ver­ed for auc­tion con­sti­tu­te unlawful­ly acqui­red pos­ses­si­on or are encum­be­red by third-par­ty rights. The cre­di­tor assu­mes lia­bi­li­ty for the accu­ra­cy of his decla­ra­ti­on.

Con­fi­den­tia­li­ty
The con­fi­den­ti­al tre­at­ment of the data ent­rus­ted to us by the cre­di­tor has the hig­hest prio­ri­ty for us. The­r­e­fo­re, we mutual­ly assu­re the con­fi­den­ti­al tre­at­ment of our data in accordance with the fol­lo­wing con­fi­den­tia­li­ty agree­ment: With the excep­ti­on of legal repre­sen­ta­ti­ves of the cre­di­tor or the con­trac­tor, their tax advi­sors or audi­tors, and com­pe­tent aut­ho­ri­ties (inves­ti­ga­ting aut­ho­ri­ties, regu­la­to­ry aut­ho­ri­ties, cham­bers of com­mer­ce and indus­try, courts, tax aut­ho­ri­ties, cus­toms aut­ho­ri­ties, etc.), the cre­di­tor and the con­trac­tor under­ta­ke neither to dis­c­lo­se the auc­tion agree­ment or copies of the auc­tion agree­ment, nor excerp­ts of the con­tents of the auc­tion agree­ment to third par­ties, nor to other­wi­se make them acces­si­ble. For each breach of this agree­ment, the par­ties under­ta­ke to pay an imme­dia­te­ly due con­trac­tu­al penal­ty in the amount of EUR 10,000.00 to the respec­ti­ve other par­ty. By sub­mit­ting the form, you con­firm your con­sent to this con­fi­den­tia­li­ty agree­ment.

Duty of con­fi­den­tia­li­ty towards third par­ties
As gene­ral­ly publicly appoin­ted and sworn auc­tion­eers, we, our employees, and other con­trac­tu­al part­ners are obli­ged to main­tain con­fi­den­tia­li­ty towards third par­ties regar­ding the know­ledge obtai­ned in the cour­se of our acti­vi­ties.

Form for data coll­ec­tion only
This form is not a legal­ly bin­ding auc­tion man­da­te or offer, but ser­ves sole­ly for data coll­ec­tion and is a pre­re­qui­si­te for the pre­pa­ra­ti­on of an auc­tion man­da­te, which simul­ta­neous­ly con­sti­tu­tes the offer.
